Common Contract Pitfalls PLUS
Contract Fine Print for Small Businesses
A
silent phone is the worst thing that can happen to a small business,
right?
WRONG.
Small
business owners know better than anyone that there’s something far
worse than having no clients at all – it’s having clients that won’t pay
you for your hard work!
We’ve all been there. We’ve bent over backwards to make sure we
delivered quality service to a client on time and on budget. We’ve
invested hours of our time, and rightfully expected to be compensated
for that time.
And then the client won’t pay! If we knew that beforehand, we could have
spent that time building our business, connecting with loved ones or
even mastering “Guitar Hero.”
The end result would be the same – ZERO deposits in the bank.

When I first started my law firm, I was in the same boat. I “tsk-tsked"
and "oh dear’ed” over clients’ tales of woe. I spent evenings and
weekends (that I’ll never get back) working on their cases. And what did
I get in return? Some clients skipped payments. Others skipped town!
Some, after a v-e-r-y l-o-n-g period of dodging my phone calls (more of
my time wasted!) could offer nothing more than extremely lame excuses as
to why they were deadbeats.
You see, lawyers get stung, too!
When you lose on each and every deal you make, it will erode your
business plan, your cash flow and your profit margin.
STOP ROBBING YOURSELF!

Things can be different! You CAN prosper!
We
entrepreneurs are lucky. While other people clock in every day at
“have-to” jobs, small business owners are able to invest time and energy
in work they sincerely enjoy. But there are aspects of running a
business that are less-than-delightful. Like contracts. Oral agreements.
Liability. Legalese.
Although I’m trained to speak legalese, I
learned the hard way about the need to implement it when I first started
my practice. Especially the lesson about how I needed to have fine print
in my own agreements with clients in order to protect me. Like the old
tale of the shoemaker’s children going barefoot, I was the lawyer
without boilerplate!
The process of slogging through the fine print of a contract can be as
tedious as running through a lake full of molasses. It’s painfully slow,
definitely not fun, and there’s a good chance you’ll end up in a sticky
situation. In fact, legal boilerplate can be so dangerous for small
businesses, it can pull you under!
CAUTIONARY TALE
AHEAD!
I’ll
never forget Barbara, a Massachusetts-based business consultant who came
to me because she wanted to sue a major corporation that owed her money.
A lot of money. Close to $10,000. Sure, ten grand is chump change to a
multinational behemoth, but it sure was a significant amount to Barbara.
She had a written an agreement, but neglected to read the fine print.
That tiny type revealed that all lawsuits must be filed in Nevada –
clear across the country. Barbara had to travel, at her own expense,
through two time zones just to plead her case.
This would never have happened if she had known how to identify
potential red flags from the outset.
FINE PRINT CAN WORK IN
YOUR FAVOR!
When
fine print is tailored to benefit your business, it can actually help
you “shut the door” on prolonged and expensive disputes. That’s why it’s
important to develop your own.
